FRISCO, Texas, Sep 4, 2002 /PRNewswire-FirstCall via COMTEX/ -- Comstock Resources, Inc. (NYSE: CRK) ("Comstock" or the "Company"), today announced that effective at 5:00 p.m. on September 3, 2002 that Comstock had completed the exchange (the "Exchange Offer") of its 11 1/4% Senior Notes due 2007 (the "New Notes") for certain of its outstanding 11 1/4% Senior Notes due 2007 (the "Old Notes").

On March 7, 2002, Comstock issued and sold $75 million aggregate principal amount of the Old Notes in a transaction exempt from registration under the Securities Act. Pursuant to the Exchange Offer, $75 million aggregate principal amount of Old Notes were tendered and exchanged for the same aggregate principal amount of Comstock's New Notes. The New Notes have substantially the same terms and conditions as the Old Notes except that the New Notes have been registered under the Securities Act of 1933 are not subject to the restrictions on resale or transfer, which applied to the unregistered Old Notes.
